"Service" refers to the consulting services offered by Cossway, including Growth Pathway Mapping, Client Retention Strategy, and Leadership Alignment Sessions. "User" or "you" refers to any individual or entity accessing our website or engaging our services. "Agreement" refers to these Terms and Conditions together with any engagement letter or scope of work agreed between the parties.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into agreements to use our services.

3. Service Description

Cossway provides business consulting services to companies primarily based in Hong Kong and the Asia-Pacific region. Our services include strategic growth planning, client retention analysis and strategy development, and facilitated leadership alignment sessions. Specific details of each engagement, including scope, timeline, and deliverables, are agreed upon in a separate engagement letter or scope of work before work begins. Services are subject to availability and we reserve the right to decline engagements at our discretion.

4. User Responsibilities

When using our website, you agree to provide accurate information in any forms or communications, not to use the website for any unlawful purpose, not to attempt to access restricted areas or interfere with website functionality, and not to reproduce, distribute, or modify any content from our website without prior written consent.

5. Engagement Terms

Consulting engagements are governed by a separate engagement letter or scope of work that outlines the specific terms, including deliverables, timeline, and fees. In the event of any conflict between these Terms and the engagement letter, the engagement letter shall prevail. Changes to the scope of an engagement must be agreed in writing by both parties before additional work begins.

6. Payment Terms

Fees for our services are quoted in Hong Kong Dollars (HKD) and are specified in the relevant engagement letter. Payment terms, including deposit requirements and payment schedule, are set out in the engagement letter. Late payments may be subject to a reasonable late payment fee as specified in the engagement letter. We reserve the right to suspend services if payment is materially overdue.

7. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Cossway and is protected by applicable intellectual property laws. Deliverables produced during consulting engagements become the property of the client upon full payment, unless otherwise specified in the engagement letter. Our methodologies, frameworks, and proprietary tools remain the intellectual property of Cossway and are licensed for the client's internal use only.

8. Confidentiality

Both parties agree to treat as confidential all information received from the other party during the course of an engagement that is not publicly available. This obligation survives the termination of the engagement. Specific confidentiality terms may be outlined in the engagement letter or a separate non-disclosure agreement.

9. Disclaimers

Our consulting services are provided on an advisory basis. While we apply professional standards and diligence to all engagements, we do not make representations about specific business outcomes. Our website and its content are provided on an "as is" basis. We do not warrant that the website will be uninterrupted or free from errors. Nothing on our website constitutes professional advice specific to your situation. Any reliance on website content is at your own discretion.

10. Limitation of Liability

To the fullest extent permitted by law, Cossway's total liability arising from or in connection with any engagement shall not exceed the fees paid by the client for that specific engagement. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profit, revenue, data, or business opportunity, even if we have been advised of the possibility of such damages. Nothing in these Terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded under Hong Kong law.

11. Indemnification

You agree to indemnify and hold harmless Cossway, its consultants, and employees from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of our website, or any third-party claims related to your use of deliverables produced during an engagement.

12. Termination

Either party may terminate a consulting engagement in accordance with the terms set out in the engagement letter. Upon termination, fees for work completed up to the date of termination are payable. We may suspend or restrict access to our website at any time without prior notice. Provisions of these Terms that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, and indemnification — shall continue in effect.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising from these Terms or the use of our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

14. General Provisions

These Terms, together with any applicable engagement letter, constitute the entire agreement between you and Cossway regarding the subject matter herein. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to exercise any right under these Terms shall not constitute a waiver of that right. You may not assign your rights or obligations under these Terms without our prior written consent. Cossway may assign its rights under these Terms to a successor or affiliate.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
